Please read these Terms of Use carefully. These Terms of Use govern your access to and use of the Aquantix Technologies LLC website located at https://aquantix.tech and any other website operated by Aquantix Technologies LLC that links to these Terms of Use (collectively, the “Website”).
The Website is operated by Aquantix Technologies LLC, a Colorado limited liability company (“Aquantix,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms of Use and acknowledge our Privacy Policy. If you do not agree to these Terms of Use, you should not use the Website.
These Terms of Use apply only to the public-facing Website. Use of Aquantix’s customer dashboard, software platform, connected devices, and related services may be subject to separate agreements and terms.

We may revise these Terms of Use from time to time. Updated Terms will be posted on the Website with a revised “Last Updated” date.
Your continued use of the Website after revised Terms are posted constitutes your acceptance of the revised Terms to the extent permitted by applicable law.

The Website provides general information regarding Aquantix, our technology, products, services, capabilities, customers, markets, and other topics.
Website content is provided for general informational and marketing purposes only. Nothing on the Website constitutes a binding offer, product specification, service commitment, warranty, guarantee, or contractual obligation by Aquantix.
Descriptions of products, services, features, performance, functionality, pricing, availability, integrations, deployment configurations, or other capabilities may change from time to time.
Any purchase or use of Aquantix products or services is governed by the applicable written agreement, order form, statement of work, subscription agreement, or other agreement between Aquantix and the applicable customer. If information on the Website conflicts with such an agreement, the customer agreement controls.
3. Limited Right to Use the Website
Subject to these Terms, Aquantix grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful informational and business purposes.
No other rights are granted to you, whether by implication, estoppel, or otherwise.
Aquantix may modify, suspend, restrict, or discontinue all or any portion of the Website at any time.
4. Prohibited Uses
You may not use the Website in any manner that violates applicable law, infringes the rights of another person or entity, interferes with operation of the Website, or is inconsistent with these Terms.
Without limiting the foregoing, you may not:
access or attempt to access systems, accounts, networks, servers, data, or areas of the Website for which you are not authorized;
circumvent, disable, interfere with, or attempt to defeat security features of the Website;

remove or alter copyright, trademark, attribution, or other proprietary notices;

impersonate another person or misrepresent your affiliation with any person or organization; or
use the Website for fraudulent, unlawful, abusive, or harmful purposes.
5. Intellectual Property
The Website and its contents, including text, designs, graphics, images, logos, product names, trademarks, software, interfaces, documentation, videos, data compilations, and other materials, are owned by or licensed to Aquantix and are protected by intellectual property and other applicable laws.
Except for the limited right to access the Website provided above, nothing in these Terms transfers or grants you any ownership interest in Aquantix intellectual property.
The Aquantix name, logos, product names, and related marks may not be used without Aquantix’s prior written permission.
All rights not expressly granted are reserved.
6. Website Accuracy and Availability
Aquantix attempts to provide useful and accurate information but does not guarantee that Website content is complete, accurate, current, or error-free.
The Website may contain technical errors, typographical errors, omissions, outdated information, or other inaccuracies.
Aquantix may correct, modify, update, or remove Website content at any time without notice.
We do not guarantee that the Website will always be available, uninterrupted, secure, or free from viruses or other harmful components.
7. Product and Water-System Information
Aquantix provides technologies designed to support monitoring and management of water-treatment equipment and related systems.
Information presented through the Website regarding water usage, equipment condition, filtration, maintenance, monitoring, alerts, system performance, savings, or other operational matters is general information and should not be interpreted as a guarantee regarding any particular facility, water system, device, filter, or operating condition.
Aquantix does not, through the Website:
guarantee water quality or potability;
certify that water is free from contaminants;
guarantee the effectiveness or useful life of any filter or water-treatment product;
determine whether any particular water-treatment device is appropriate for a particular application;
guarantee that maintenance or replacement will occur at the appropriate time;
guarantee regulatory, health, safety, building-code, or environmental compliance; or
replace applicable manufacturer instructions, professional testing, required inspections, maintenance procedures, or the judgment of qualified facility, water-treatment, engineering, health, or safety professionals.
Actual equipment performance and water conditions may be affected by installation, system design, water quality, environmental conditions, equipment condition, communications connectivity, third-party equipment, maintenance practices, and other circumstances outside Aquantix’s control.
Customers and facility operators remain responsible for operating, inspecting, testing, maintaining, and servicing their water systems and equipment in accordance with applicable requirements and professional judgment.
8. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL INFORMATION AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AQUANTIX DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AQUANTIX DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, ACCURATE, OR AVAILABLE AT ANY PARTICULAR TIME.
NO STATEMENT ON THE WEBSITE CREATES A WARRANTY OR GUARANTEE REGARDING AQUANTIX PRODUCTS OR SERVICES. WARRANTIES, IF ANY, RELATING TO PRODUCTS OR SERVICES PURCHASED FROM AQUANTIX ARE GOVERNED SOLELY BY THE APPLICABLE CUSTOMER AGREEMENT.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AQUANTIX AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE WEBSITE OR YOUR USE OF OR INABILITY TO USE THE WEBSITE.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF AQUANTIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, AQUANTIX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not permit certain limitations or exclusions of liability. In those jurisdictions, Aquantix’s liability will be limited to the fullest extent permitted by applicable law.
10. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Aquantix and its members, managers, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
your unlawful or unauthorized use of the Website;
your violation of these Terms;
information or materials you submit through the Website; or
your violation of the rights of another person or entity.
11. Privacy
Your use of the Website is also subject to our Privacy Policy, which describes how Aquantix collects, uses, discloses, and otherwise processes personal information.

12. Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or the Website will be governed by the laws of the State of Colorado, without regard to conflict-of-laws principles.
To the extent a dispute is not otherwise resolved by agreement of the parties, you and Aquantix consent to the exclusive jurisdiction of the state and federal courts located in Colorado for any action arising out of or relating to these Terms or the Website.
13. Time Limit for Claims
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Website or these Terms must be commenced within one year after the claim or cause of action arose, or such claim will be permanently barred.
14. General Terms
These Terms, together with the Privacy Policy with respect to privacy matters, constitute the agreement between you and Aquantix concerning your use of the public Website.
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
Aquantix’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
You may not assign or transfer your rights or obligations under these Terms without Aquantix’s prior written consent. Aquantix may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or other corporate transaction.
Headings are provided for convenience only and do not affect interpretation of these Terms.
These Terms do not create any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between you and Aquantix.
